Welcome to Wegener Tool Co ("WTC", "we", "us", "our"). We operate this website and online store, including all information, content, features, tools, products, and services (the Services). Our store is powered by Shopify. These Terms of Service (the Terms), together with policies referenced here (including our Privacy Policy and Returns & Refunds Policy), govern your use of the Services. By visiting or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. ACCESS & ACCOUNT
You represent that you are at least the age of majority in your place of residence and you consent to any permitted minor’s use of the Services under your supervision. You may be asked to provide information (e.g., email, billing, payment, shipping). You warrant all information is accurate and that you have rights to provide it. You are responsible for safeguarding your account credentials and all activity under your account.
2. OUR PRODUCTS
We strive for accurate descriptions and imagery. Colours/appearance can vary by device and settings. Descriptions, pricing, and availability may change without notice. We may discontinue products or limit quantities to any person, region, or jurisdiction.
3. ORDERS
Your order is an offer to buy. We may accept or decline any order at our discretion. Payment must be received/processed before acceptance. If we decline, change, or cancel an order, we’ll attempt to notify you via the contact details you provided. Your purchases are subject to our Returns & Refunds Policy. You warrant purchases are for personal/household use and not for resale or export.
4. PRICES & BILLING
Prices, promotions, and discounts may change without notice. The price charged is the price at checkout and in your confirmation email. Unless stated, prices exclude taxes, shipping/handling, customs, and import duties. You agree to provide current, complete payment details and authorise us (and Shopify’s payment providers) to charge the amounts due. You warrant you are authorised to use the selected payment method.
5. SHIPPING & DELIVERY
Estimated delivery times are indicative only. We are not liable for delays by carriers, customs, or events beyond our control. Risk of loss and title pass on delivery to the address you provide (or, for authority-to-leave, upon carrier’s recorded delivery), to the extent permitted by law. This section does not limit your rights under the Australian Consumer Law (ACL).
6. INTELLECTUAL PROPERTY
All trademarks, trade names, logos, product designs, text, graphics, photos, video, audio, and layout of the Services are owned by WTC or our licensors and are protected by Australian and international IP laws. You may use the Services for personal, non‑commercial use only. No rights are granted except as expressly set out. Shopify names and marks are trademarks of Shopify; other third‑party marks belong to their owners.
7. OPTIONAL TOOLS & NEW FEATURES
We may provide access to third‑party tools “as is” and “as available” without warranties or endorsements. Your use is at your own risk and subject to the third party’s terms. New features released via the Services are part of the Services and subject to these Terms.
8. THIRD‑PARTY LINKS
Third‑party sites and content are outside our control. We are not responsible for their accuracy, policies, or security. Accessing third‑party services is at your own risk; review their terms and policies.
9. RELATIONSHIP WITH SHOPIFY
Our store is powered by Shopify. However, all sales are between you and Wegener Tool Co. Shopify is not responsible for any sales, products, warranties, or claims arising from your transactions with us. You release Shopify and its affiliates from claims related to your purchases from us.
10. PRIVACY
Your personal information is handled in accordance with our Privacy Policy [LINK]. Because our Services are hosted by Shopify, certain information is processed by Shopify and its processors; see Shopify’s privacy documentation. By using the Services, you consent to such processing, including transfers to other countries as necessary to provide the Services.
11. FEEDBACK & REVIEWS
If you submit reviews, ideas, or other content ("Feedback"), you grant us a perpetual, worldwide, royalty‑free, sublicensable licence to use, reproduce, modify, publish, and display such Feedback in any medium for any purpose, including to operate and improve the Services. You warrant you have rights to the Feedback and that it complies with law and these Terms. We may remove Feedback we consider unlawful or objectionable.
12. ERRORS & OMISSIONS
Information on the Services may contain errors or omissions (e.g., descriptions, pricing, availability, shipping charges, transit times). We may correct or update information or cancel orders if any information is inaccurate, including after you submit an order.
13. PROHIBITED USES
You may not use the Services for unlawful purposes; to infringe IP rights; to harass, defame, or harm others; to send spam/malware; to scrape or collect others’ data; to interfere with security features; or otherwise as detailed in this section. We may suspend or terminate access for violations.
14. PRODUCT‑SPECIFIC TERMS (TIMBER, SURFIES, DIY KITS)
Timber: Natural variations in grain/colour/density and minor surface characteristics are normal and not defects. Once cut, or modified, timber is final sale except as required by the ACL.
DIY Kits: Kits containing consumables (e.g., adhesives, sandpaper) may have handling and storage requirements; follow included instructions and safety data. Opened kits may not be returnable except under the ACL.
Workshops: Separate workshop terms/waiver apply and will be provided at the time of acceptance of attendance.
15. DISCLAIMER OF WARRANTIES
Except as required by the ACL or expressly stated by us, the Services and all products are provided “as is” and “as available” without warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant uninterrupted, timely, secure, or error‑free operation. Some jurisdictions do not allow exclusion of implied warranties; the above applies to the maximum extent permitted by law.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, WTC and our officers, employees, agents, contractors, and licensors are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, savings, data, or goodwill, arising from your use of the Services or products. Nothing in these Terms limits your non‑excludable rights under the ACL. Where liability cannot be excluded but may be limited, our liability is limited to repair or replacement of goods, resupply of services, or the cost of doing so, at our option.
17. INDEMNITY
You agree to indemnify and hold harmless WTC (and Shopify, where applicable), and our affiliates, officers, employees, agents, and contractors from claims, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your unlawful conduct, or your misuse of the Services.
18. SEVERABILITY
If any provision is unlawful, void, or unenforceable, it is severed to the extent necessary and the remainder continues in effect.
19. WAIVER & ENTIRE AGREEMENT
Failure to enforce a provision is not a waiver. These Terms, together with posted policies (including Privacy and Returns & Refunds), constitute the entire agreement between you and us regarding the Services.
20. ASSIGNMENT
You may not assign your rights or obligations without our prior written consent. We may assign or transfer our rights or obligations at any time.
21. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of Queensland, Australia. You submit to the non‑exclusive jurisdiction of the courts of Queensland and courts entitled to hear appeals from them.
22. HEADINGS
Headings are for convenience only and do not affect interpretation.
23. CHANGES TO THESE TERMS
We may update these Terms by posting a revised version on the site. Material changes will be notified in accordance with applicable law. Your continued use of the Services after changes take effect constitutes acceptance.
